Website Terms and Conditions of Use

1. ACCEPTANCE

This document (hereinafter, the “Agreement”) sets forth the terms and conditions of Cloud Cemeteries (“CC”) info@cloudcemeteries.com, which shall apply to the User’s access and use of this website (the “Website”).

By accessing, browsing, or using the Website, users (“You”, “you”, “User”, or “user”) agree to comply with the terms and conditions established in this Agreement. If you do not agree to be bound by these terms and conditions, you may not access or use the Website.

Cloud Cemeteries, Colinas del Tiempo, and its affiliated companies reserve the right to update this Agreement whenever deemed appropriate. Accordingly, we recommend that Users periodically review any changes made to the Agreement.

This Agreement is governed by the laws in force in the Republic of Argentina. Any user accessing from another country and using the Website does so at their own risk and responsibility and must ensure that such access and/or use complies with the applicable laws of their country.

2. USER REQUIREMENTS

The Website and its related services are offered to Users who are legally able to enter into binding agreements under applicable law.

Minors are not authorized to use the Website. If you are underage, please do not use this website.

3. LICENSE

All material displayed or offered on the Website, including but not limited to graphics, documents, texts, images, sound, video, audio, illustrations, software, and HTML code (collectively, the “Content”), is the exclusive property of CC or of the companies providing such material and/or services through the Website.

The Website is protected by copyright and intellectual property laws. Except as expressly permitted under this Agreement and/or by law, the User may not (i) use, copy, modify, display, delete, distribute, download, store, reproduce, transmit, publish, sell, resell, adapt, reverse engineer, or create derivative works from the Content; or (ii) use the Content on other websites or media such as a networked environment, without prior written authorization from CC.

All trademarks, service marks, and logos (hereinafter, the “Marks”) displayed on the Website are the exclusive property of CC or their respective owners.

The User may not use the Marks in any way without prior written authorization from CC and the respective owners.

4. USER-PROVIDED INFORMATION

By submitting or entering information on the Website (“User Information”), the User grants CC a perpetual, non-exclusive, irrevocable, royalty-free license to use, copy, modify, display, distribute, download, store, reproduce, transmit, publish, sell, resell, adapt, and create derivative works from, in whole or in part, the User Information for the maximum time permitted by applicable law. The User acknowledges and agrees that CC acts only as a passive forum through which users can make virtual cemetery visits and contract services offered by Colinas del Tiempo. CC does not review or control User Information. Therefore, CC makes no warranties regarding the reliability, accuracy, completeness, validity, or truthfulness of the information submitted by users.

CC reserves the right, at its sole discretion, to remove, reject, or block any User Information deemed unacceptable. If CC receives notification about the unacceptability of any User-submitted information, CC may, at its sole discretion, investigate such information.

The User acknowledges and agrees that CC may keep a copy of the User Information and disclose such information to third parties.

5. GENERAL PROHIBITIONS

By accessing and using the Website, the User agrees NOT to:

Violate any local, state, provincial, or national (Argentina) law, regulation, or rule;
Infringe third-party intellectual property or privacy rights, including but not limited to patents, copyrights, database rights, trademarks, or trade secrets;
Download, send, transmit, or store material that:
- Is illegal, offensive, defamatory, fraudulent, misleading, harmful, threatening, hostile, obscene, or objectionable;
- Breaches contractual or confidentiality obligations;
- Harms or interferes with normal operation of the Website, such as by transmitting viruses, worms, or trojans, repeated submissions, or unusually large files;
- Is not permitted by CC, such as unauthorized advertising, unsolicited promotional material, “junk mail”, “spam”, “chain letters”, pyramid schemes, franchise offers, club memberships, or any other unacceptable content;
Violate personal and privacy rights of others by abusing the Content, e.g., harassment or repeated unsolicited emails, or collecting personal data;
Breach or attempt to breach the Website’s security;
Use any device, software, or mechanism like spiders or bots to navigate or access the Website or its Content without CC’s prior written consent;
Access or attempt to access other people’s or companies’ accounts or logins on the Website;
Copy, modify, reproduce, delete, distribute, download, store, transmit, sell, resell, publish, reverse engineer, or create derivative works from the Content, except for User-submitted and owned material, or as permitted by applicable IP laws;
Submit or provide false, inaccurate, or incomplete data related to resumes, bios, work history, or company profiles;
Impersonate another person or company;
Use the Website for unauthorized or unlawful activities;
Falsify email headers; or
Misrepresent themselves, third-party associations, or their business.

6. WEBSITE USE AND SPECIFIC OBLIGATIONS

In addition to the general obligations in Article 5, the User shall:

Use the Website solely for the legal purpose of visiting virtual cemeteries and/or contracting services;
Provide and maintain accurate, complete, up-to-date, and truthful personal data;
Only submit material for which they have rights or licenses;
Use discretion, caution, and common sense when handling service contracts and information obtained through the Website;
Assume the risk of relying on or using third-party content or information.

7. LINKS TO THIRD-PARTY WEBSITES

The Website may contain links, such as hyperlinks or connections, to third-party websites (“Linked Sites”). Although CC reviews third-party material and only includes Linked Sites that, to its best knowledge, do not violate applicable law, CC cannot control or monitor the Linked Sites. Therefore, CC accepts no responsibility for the accuracy, security, or reliability of the materials, information, or content on such Linked Sites or for any services they offer.

The inclusion of Linked Sites does not imply any relationship or association between CC and the Linked Site owners, nor endorsement or promotion of those sites by CC. These links are included for User convenience only, and the User accesses them at their own risk.

Users should use good judgment and review the terms of use and privacy policies of any Linked Sites. CC reserves the right to remove any Linked Sites from its Website if it becomes aware of any rights violations or illegal content or upon court or administrative order.

Links to our Website are not allowed without CC’s prior written authorization. Users may not, alone or with others, modify, substitute, amend, or limit in any way the information or functionalities of our Website. Nor may Users create or install links from their own or third-party websites to ours (via hyperlinks, deep-linking, framing, code, or otherwise) without CC’s prior written consent.

8. PRIVACY

CC will process any personal data provided or submitted via our Website in accordance with the Website’s Privacy Policy and the relevant terms and conditions in this Agreement.

9. COOKIES

What are cookies?

This Website uses cookies. Cookies are text files with small amounts of data, downloaded to your computer or mobile device when you visit a website. These files are retrieved by the server upon each return visit to the same page. Cookies help websites recognize the user’s device.

Cookies cannot transmit viruses or damage your computer. 10. INDEMNITY

The User agrees to indemnify, defend, and hold harmless CC, its subsidiaries and affiliates, and their directors, officers, agents, and employees from any third-party claims (including, but not limited to, legal fees and court costs) arising from the User’s access or use of the Website, the User Information provided, or any breach of this Agreement by the User.

11. DISCLAIMER

The User acknowledges and agrees that:

The User assumes all risks associated with the use, consultation, or access to the Website. The Website is provided “as is” and “as available,” with no warranties;
To the extent allowed by law, Cloud Cemeteries expressly disclaims all warranties or liabilities, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and those arising from trade usage or negotiation;
Although Cloud Cemeteries uses antivirus systems and security measures to protect the Website from cyberattacks, it expressly disclaims any warranties that: (i) the Website and its content will be error-free, virus-free, or immune to third-party attacks; (ii) the Website will function uninterrupted and securely at all times; (iii) the Website will always be available; (iv) the Website will meet the User’s needs; and (v) that User-provided information is reliable, accurate, complete, valid, or truthful.

12. LIABILITY AND LIMITATION OF LIABILITY

The User agrees to bear all risks associated with use of the Website or information submitted, including but not limited to financial losses, property damage, and dealings with other users (strangers, minors, foreigners, or impersonators). The User also agrees to hold harmless Cloud Cemeteries, its parent company, affiliates, and their officers, agents, and employees from any claims or damages (direct, indirect, or consequential) related to Website use, User Information, or resulting transactions.

To the extent permitted by law, in no event shall Cloud Cemeteries, its parent company, affiliates, or their officers, agents, employees, or suppliers be liable for any direct, indirect, or consequential damages (including property or economic damages, lost profits, customer loss, lost income or data, or interruption of service), regardless of cause, even if previously advised. If certain jurisdictions prohibit the exclusion of warranties or limitation of liability, Cloud Cemeteries’ total liability shall not exceed USD $10.00 (ten US dollars), if permitted by applicable law.

This limitation does not apply to consumers or damages caused by intent or gross negligence.

13. TERMINATION

CC may, at its sole discretion, terminate the services offered on its Website and remove any Content. CC may also suspend the User’s access to any or all services at any time, with or without cause, and without prior notice.

14. GENERAL

This Agreement constitutes the entire understanding between the User and CC regarding access and use of the Website and supplements any binding agreement that may exist between the User and CC.

This Agreement shall be governed by and construed under the laws of ARGENTINA. The User submits to the exclusive jurisdiction of the courts of CABA.

If the User accesses, consults, submits information, or downloads materials from outside Argentina, they are solely responsible and do so at their own risk. The User may not use or export Website Content or make any copies or adaptations that violate applicable laws or regulations, including U.S. export laws.

Failure or delay in exercising any right or remedy under this Agreement shall not constitute a waiver.

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be excluded without affecting the remaining terms, which shall remain in full force and effect.

Sections 4, 6, 10, 12, 13, 14, and 15 shall survive termination of this Agreement for any reason.
